Corporate Account Agreement
1. Parties
This Corporate Account Agreement (hereinafter referred to as the "Corporate Agreement") is entered into electronically between ORE2B INFORMATION TECHNOLOGIES MARKETING AND TRADE INC. (hereinafter referred to as "ORE2B") located at "[Address to be specified]" and the "Corporate Account Holder" who accepts this Corporate Agreement along with its integral annexes and the terms and conditions specified on the ore2b.com Portal, by giving approval for opening a corporate account on the <www.ore2b.com> Portal.
2. Definitions
"Corporate Account Holder": A legal entity or business organization that creates an account on the "Portal" for commercial purposes and benefits from the services offered within the "Portal" under the conditions specified in this agreement.
"Corporate Account": The business account status acquired through notification by "ORE2B" upon complete and accurate completion of the Corporate Account Form on the "Portal" with valid business documentation and information.
"Authorized Representative": The natural person(s) designated by the Corporate Account Holder who is/are authorized to manage the corporate account and make legally binding commitments on behalf of the organization.
"Sub-Users": Individual users designated by the Corporate Account Holder to access and use the corporate account under the supervision and responsibility of the Corporate Account Holder.
"Commercial Listings": Advertisements, offers, or content posted by Corporate Account Holders for business purposes, including but not limited to sale of goods, provision of services, or promotion of business activities.
All other definitions in the Individual Account Agreement (Section 2) are incorporated herein by reference and apply equally to this Corporate Agreement unless specifically modified above.
3. Corporate Account Requirements
3.1 Eligibility To establish a Corporate Account, the applicant must:
- Be a legally registered business entity, corporation, partnership, or other recognized commercial organization
- Provide valid business registration documents and tax identification numbers
- Have legal authority to enter into commercial agreements
- Designate an Authorized Representative who meets individual account holder requirements
3.2 Documentation Requirements Corporate Account Holders must provide and maintain current:
- Business registration certificates
- Tax registration documents
- Authorized signatory documentation
- Valid business contact information
- Any additional documentation requested by ORE2B for verification purposes
3.3 Account Verification ORE2B reserves the right to:
- Verify all submitted business documentation
- Request additional proof of business legitimacy
- Conduct background checks on the business and its representatives
- Reject applications that fail verification requirements
- Require periodic re-verification of business status
4. Rights and Obligations
4.1 Corporate Account Holder Obligations
4.1.1 General Compliance The provisions of Section 5.1 of the Individual Account Agreement apply to Corporate Account Holders with the following additional requirements:
- Compliance with all applicable business and commercial laws
- Maintenance of valid business licenses and permits
- Adherence to professional standards and industry regulations
- Proper tax reporting and payment obligations
4.1.2 Sub-User Management Corporate Account Holders are responsible for:
- Properly training Sub-Users on Portal terms and policies
- Monitoring Sub-User activities and ensuring compliance
- Maintaining security of Sub-User access credentials
- Immediately reporting any unauthorized Sub-User activity
- Ensuring Sub-Users accept and comply with applicable terms
4.1.3 Commercial Listings Responsibility Corporate Account Holders must ensure that all Commercial Listings:
- Accurately represent goods, services, or business offerings
- Comply with consumer protection laws and advertising standards
- Include all legally required disclosures and disclaimers
- Do not contain false, misleading, or deceptive information
- Respect intellectual property rights of third parties
4.1.4 Business Representation Corporate Account Holders warrant that they:
- Have full authority to bind the organization to this agreement
- Will maintain current and accurate business information
- Will promptly notify ORE2B of any changes in business status
- Will not misrepresent their business nature, size, or capabilities
4.2 Enhanced Obligations for Corporate Accounts
4.2.1 Customer Service Standards Corporate Account Holders must:
- Respond to customer inquiries in a timely and professional manner
- Provide adequate customer support for goods and services offered
- Honor all warranties, guarantees, and return policies advertised
- Resolve customer complaints in good faith
4.2.2 Transaction Processing Corporate Account Holders are responsible for:
- Processing orders and payments in accordance with stated terms
- Timely delivery of goods and services as promised
- Providing tracking information and delivery confirmations
- Maintaining adequate inventory for listed items
4.2.3 Record Keeping Corporate Account Holders must maintain:
- Accurate records of all transactions conducted through the Portal
- Documentation supporting all claims made in listings
- Customer communication records
- Financial records related to Portal activities
5. Commercial Terms and Conditions
5.1 Listing Fees and Charges
- Corporate accounts may be subject to listing fees, transaction fees, or subscription charges
- Fee structures will be clearly communicated and agreed upon separately
- All fees are non-refundable unless specifically stated otherwise
- ORE2B reserves the right to modify fee structures with appropriate notice
5.2 Enhanced Services Corporate Account Holders may access enhanced services including:
- Priority listing placement
- Advanced analytics and reporting
- Bulk listing management tools
- Dedicated customer support
- Marketing and promotional opportunities
5.3 Performance Standards ORE2B may establish performance metrics for Corporate Account Holders including:
- Customer satisfaction ratings
- Response time requirements
- Transaction completion rates
- Compliance scores
6. Liability and Insurance
6.1 Enhanced Liability Corporate Account Holders acknowledge enhanced liability for:
- All business activities conducted through the Portal
- Actions of Sub-Users and employees
- Compliance with commercial and consumer protection laws
- Product liability and service quality issues
6.2 Insurance Requirements ORE2B may require Corporate Account Holders to maintain:
- General business liability insurance
- Product liability insurance (where applicable)
- Professional liability insurance (for service providers)
- Other insurance coverage as determined by business type
6.3 Indemnification Corporate Account Holders agree to indemnify ORE2B for claims arising from:
- Business operations and commercial activities
- Products or services offered through the Portal
- Violations of commercial laws and regulations
- Intellectual property infringement claims
- Consumer protection law violations
7. Termination and Suspension
7.1 Termination by ORE2B In addition to the grounds specified in the Individual Account Agreement, ORE2B may terminate Corporate Accounts for:
- Loss of business registration or legal status
- Failure to maintain required business licenses
- Repeated customer complaints or poor performance ratings
- Violation of commercial laws or regulations
- Failure to pay applicable fees or charges
7.2 Notice Requirements ORE2B will provide reasonable notice of termination except in cases of:
- Fraud or illegal activity
- Immediate threat to Platform security
- Court orders or regulatory requirements
7.3 Effect of Termination Upon termination:
- All Commercial Listings will be removed
- Access to enhanced corporate features will cease
- Outstanding obligations remain enforceable
- Data export may be available for a limited time
8. Specific Corporate Provisions
8.1 Business Categories Corporate Account Holders must accurately select appropriate business categories and may be subject to category-specific rules and requirements.
8.2 Bulk Operations Corporate Account Holders may use bulk listing tools and API access subject to:
- Rate limiting and usage restrictions
- Additional terms of service for API usage
- Compliance with technical specifications
- Payment of applicable fees
8.3 Marketing and Promotions Corporate Account Holders may participate in ORE2B marketing programs subject to:
- Compliance with advertising standards
- Approval of marketing materials
- Payment of promotional fees
- Adherence to campaign guidelines
9. Data and Privacy
9.1 Business Data Corporate Account Holders acknowledge that business information may be:
- Displayed publicly as part of their business profile
- Used by ORE2B for verification and trust-building purposes
- Shared with customers and potential customers
- Subject to public records requests where applicable
9.2 Customer Data Protection Corporate Account Holders must:
- Comply with applicable data protection laws
- Protect customer personal information
- Use customer data only for legitimate business purposes
- Implement appropriate data security measures
9.3 Privacy Policy Compliance The Privacy Policy provisions in the Individual Account Agreement apply to Corporate Account Holders with additional obligations under commercial data protection requirements.
10. Dispute Resolution
10.1 Commercial Disputes Corporate Account Holders may be subject to:
- Alternative dispute resolution procedures
- Mediation requirements for certain disputes
- Arbitration clauses in commercial agreements
- Enhanced reporting and documentation requirements
10.2 Customer Complaints Corporate Account Holders must:
- Participate in ORE2B's dispute resolution processes
- Respond to customer complaints in good faith
- Provide documentation supporting their position
- Comply with resolution decisions
11. Compliance and Monitoring
11.1 Enhanced Monitoring ORE2B reserves the right to:
- Monitor corporate account activities more closely
- Conduct periodic compliance reviews
- Request additional documentation or information
- Implement enhanced security measures
11.2 Regulatory Compliance Corporate Account Holders must:
- Comply with all applicable business regulations
- Maintain required professional licenses
- Follow industry-specific guidelines
- Report compliance issues to ORE2B when required
12. Integration with Individual Account Agreement
12.1 Incorporation by Reference The following sections of the Individual Account Agreement are hereby incorporated by reference and apply to Corporate Account Holders with equal force:
- Section 6 (Privacy Policy) - with additional corporate data obligations
- Section 7 (Intellectual Property Rights)
- Section 8 (Account Agreement Changes)
- Section 9 (Force Majeure)
- Section 10 (Applicable Law and Jurisdiction)
- Section 11 (Entry into Force)
- All Annexes (1-5) with modifications as specified herein
12.2 Precedence In case of conflict between this Corporate Agreement and the Individual Account Agreement, the provisions of this Corporate Agreement shall take precedence for Corporate Account Holders.
13. Corporate Account Specific Terms
13.1 Business Hours and Support Corporate Account Holders may receive:
- Extended customer support hours
- Dedicated account management
- Priority technical support
- Business-specific training and resources
13.2 Reporting and Analytics Corporate Account Holders have access to:
- Advanced business analytics
- Performance reporting tools
- Customer interaction data
- Market trend information
13.3 API and Integration Services Subject to separate technical agreements, Corporate Account Holders may access:
- API services for system integration
- Bulk data management tools
- Third-party service integrations
- Custom reporting solutions
14. Amendment and Modification
This Corporate Agreement may only be modified by ORE2B through publication on the Portal. Corporate Account Holders will receive notice of material changes affecting business operations.
15. Severability and Survival
If any provision of this Corporate Agreement is deemed invalid, the remaining provisions shall continue in effect. Obligations related to liability, indemnification, and data protection shall survive termination of this agreement.
16. Acknowledgment
By accepting this Corporate Agreement, the Corporate Account Holder acknowledges that:
- They have read and understood all terms and conditions
- They have authority to bind their organization to this agreement
- They will comply with all applicable laws and regulations
- They understand the enhanced obligations and liability associated with corporate accounts

Corporate Account Holders are encouraged to also review the Individual Account Agreement for additional terms and conditions that apply to their use of the Portal.
